IMPORTANT! READ THESE TERMS AND CONDITIONS FIRST

DEFINITIONS:
Seller: The person engaging the services of the Brokers.
Brokers: The management and employees of Holt WorldWide Co Ltd.

This is to confirm and clarify the conditions under which the Brokers have agreed to represent the Seller. This agreement is legally binding, and it is intended to ensure that there are no misunderstandings between both parties. This whole document must be acknowledged by the owner before the Brokers will act on behalf of the Seller and list the seller's property. Even if some of the terms and conditions of this document do not apply to the Seller's requirements, this is a standard agreement and any conditions that apply to a particular sale or rental shall apply.

TERMS AND CONDITIONS FOR REGISTERING A PROPERTY WITH US:

  1. AGREEMENT: The Seller agrees to appoint Holt-Realty.com, a division of Holt WorldWide Co Ltd, as a Broker for the Seller's properties.
  2. Unless agreed otherwise, the seller is free to engage the services of other brokers to sell the property being registered.
  3. The Seller agrees that the final sale price shall include the Broker's agency fee.
  4. Holt-Realty will not accept any listings from sellers who ask us to add our agency fee on top of the selling price.
  5. TRANSPORT: The Broker will pay for all transport costs while taking prospective buyers to view the Seller's property or properties.
  6. LISTING AND ADVERTISING: The Broker agrees to advertise the seller's property or properties in the Broker's websites at no cost to the Seller.
  7. Holt-Realty will display the necessary information and pictures supplied by the seller to ensure an attractive listing in the website, or in any media advertising.
  8. The Broker may place advertising for a property in any media it sees fit to advertise in at our discretion and at our cost without notifying the seller in advance.
  9. Should the Seller require more advertising than that provided by the Broker, the Seller agrees to pay for any additional advertising costs.
  10. All contact information in any advertising set up by the broker will be directed to Holt Realty as authorized Brokers for the Seller.
  11. PROPERTY SALE PROCEDURE: When a Broker's client agrees to buy the property registered herein, the buyer will be required to pay a deposit not less than 20% of the sale price. The deposit amount shall be agreed between the buyer and seller.
  12. The deposit shall be paid into an escrow account managed by the Broker, or by the buyer's lawyer.
  13. The seller agrees that once a 20% deposit has been paid into the escrow account, no other offers to buy the property may be accepted until the Due Diligence check is completed.
  14. On the day the deposit is paid, the buyer agrees to pay the Broker the full commission agreed on in this agreement.
  15. On payment of the deposit, the buyer's lawyer shall conduct a Due Diligence check on the property to determine whether the property is available for sale free and clear of any debts, liens, or other encumbrances.
  16. If the Due Diligence check confirms that the property can be sold, all parties shall agree to meet at the Buyer's legal representative's office to sign a Sales and Purchase Agreement and conclude the deal.
  17. Should the Due Diligence check reveal that the property cannot be sold because of debt, lien, or other encumbrance, the remaining deposit shall be returned to the buyer.
  18. THE BUYER'S DEPOSIT GUARANTEE: When buyer hands over the deposit cheque the buyer's lawyer will issue a receipt that states:
    1. If the buyer decides not to buy the property for any reason, the deposit will be forfeited back to the seller, less the Broker's fee mentioned in paragraph #14. In addition, the buyer may be liable to pay a penalty. The penalty amount shall be agreed on between the seller and the buyer before a deposit is paid and the amount entered into the deposit receipt.
    2. If the Due Diligence report does not come back positive, the deposit will be refunded back to the seller, less the Broker's fee mentioned in paragraph #14 in this document.
    3. If the seller decides not to sell for any reason, the deposit shall be refunded to the buyer, plus any penalty. The penalty will be determined and agreed on before a deposit is paid and the amount entered into the deposit receipt.
    4. If the Due Diligence report is positive, the remaining deposit will be handed over to the seller.
  19. OTHER CONDITIONS: The Seller agrees not to impose any costs, transfer fees, stamp duty, or property business taxes for the transaction on the Broker.
  20. At any time after the deposit has been paid to the day the sale is finalized, should the Seller want to change the agreed terms and conditions, the Broker and/or buyer may decide to terminate a transaction immediately, and any penalties agreed on between the parties shall be imposed.
  21. In all cases above, the seller agrees that the Broker shall be paid the commission agreed to in this document on the day the buyer puts down a deposit, and that the Broker shall retain the commission no matter what the outcome of the sales process.
  22. Failure to notify the Broker of a change in price may result in a lost opportunity to sell or rent your property. It is the responsibility of the seller to send any changes in status to your property to the Broker.
  23. A lawyer based in Thailand of the Broker's choice will adjudicate any disputes between a buyer and seller.
  24. PROPERTY RENTAL AGENCY FEE: The property owner agrees to pay the Broker 10% commission of the total rental amount for a minium 12 month period agreed on with a renter.
  25. All rental contracts negotiated by the Broker shall be for a minimum 12 month period, without exception.
  26. TERM AND TERMINATION: This agreement is binding between the Broker and the Seller without any time limit until the property is sold or rented out, OR one of the parties notifies the other by sending a termination letter by registered mail. Termination shall be effective 30 days after the date a termination letter is posted. During the 30-day period, any negotiations must either be completed or terminated, and any outstanding fees must be paid.
  27. The Broker reserves the right to de-list a property at any time for any reason, without notifying the property owner.
